Recipient of N1RMAN RATTAN AWARD in 1995 for her outstanding performance in Architectural and Interior designing. Immediately after passing out the B. Architecture in September. 1981 joined M/s. Satnam & Associates, Architects, Planners at Chandigarh and worked upto March 1982. During this period she assisted and supervised the interior construction of their own new office in sector-8 as well as one Kanal Residence. In March, 1982, because of her brilliant academic record and professional experience, she got selected as an Assistant Architect on regular basis in HPS.E.B She designed and supervised various Guest Houses, School Buildings, Hospitals etc. Her innovative ideas in design and interior planning of different Hotels/ Guest Houses in hills were appreciated by the concerned authorities. She is also impaneled with Himachal Tourism Corporation as Interior Designer. In 1983, she joined as a Lecturer in Chandigarh College of Architecture and gained the research experience by teaching thesis students and also teaching subjects like Structure Design. After retirement as Chief Architect, Punjab, he pursued his career in Structural Design consultancy and is associated with our firm. He designed structures for all our multi-storeyed multi million projects.

Purchase Price Allocations for Mergers & Acquisitions
Purchase Price Allocations (“PPA”) are required by International Accounting Standards Board (IASB), International Financial Reporting Standards (IFRS) and US GAAP for all acquisitions. The Indian GAAP is also in process of converging to IFRS with the introduction of IndAS.
PPA requires companies to report the Fair Value of assets and liabilities acquired in their financial statements. The PPA process allocates the cost of an acquired entity to the Fair Value of assets acquired and liabilities assumed and it establishes useful lives for identified assets.
The purpose is greater transparency to investors. PPA is a complex, technical and organizationally challenging process. Particular emphasis should be placed on the information required to be disclosed. Goodwill must be disclosed to the capital markets. The amount of residual goodwill can provide indications as to the reasonableness of the purchase price.
The central challenge of a PPA lies in the identification and valuation of the intangible assets not previously reported by the acquiree i.e. where the balance sheet recognition criteria were not met previously.
This starts with identification of the acquiring company and determining the date of acquisition. An analysis of business plan is conducted which enables identification of central value drivers of the acquired company and provides an understanding of the amount and composition of the purchase price.

ASC Topic 350 – US GAAP
After initial recognition, goodwill and indefinite lived intangible assets are periodically tested for impairment under ASC Topic 350.

IAS 36/Indian GAAP – AS 28
IAS 36: Impairment of Assets requires the testing of goodwill and long-lived intangible assets on an annual basis with other assets tested where there is an indication that the asset may be impaired. Goodwill is tested at a cash generating unit (“CGU”) level and is a single step test comparing the carrying value of the CGU to the recoverable amount. Goodwill impairment tests under IFRS frequently give materially different results to those under US GAAP due to the three step test used in ASC Topic 350.
IAS 36/Indian GAAP – AS 28: Impairment of Assets requires the testing of long-lived tangible assets as and when required with other assets tested where there is an indication that the asset may be impaired. An individual tangible asset may be tested for impairment at a cash generating unit (“CGU”) level where independent cash flows cannot be attributed to a single asset. The Carrying value of the tangible asset/CGU is compared to its recoverable amount – Fair Value less Cost of Disposal to determine whether the asset or CGU is impaired or not.
