Companies seek valuations for corporate governance or regulatory reasons, or management review for critical input for decision making process. In these instances the company is at a critical moment in its life. It may be planning a major acquisition, resolving a shareholder or joint venture dispute, or seeking to reduce the gap between intrinsic and market value.
Your company may require:

Valuation of Brands, Intangible Assets & Intellectual Property
Brands and Intangible Assets are widely accepted to be the key drivers and contributors to the value and growth of businesses. However, despite their widespread acceptance that intangible assets and brands are critical to the future prospects of any business, they are traditionally considered to be complicated to measure in terms of ‘value’, and its ongoing management and communication.
Bankers, Investors, analysts and other stakeholders are getting increasingly alert to the importance and ‘value’ of intangible assets and are keen to bridge the information gap that has existed until recently.
More and more bankers and financial institutions are agreeing to securitize and fund against reputed brands and strong intangibles as collateral security.
Hence the financial role of intangibles has increasingly been recognized and their growing importance is reflected in the value that brands and other intangibles add to the bottom line.
Not only is there a compelling financial reason for more rigorous intangible asset management processes, the tax and accounting regimes are also demanding that numbers are allocated to intangible assets as part of accounting for acquisitions. And it doesn’t end there; the value of these intangible assets is required to be monitored on an ongoing basis.
We have the expertise to help clients ascertain and assign the accurate value to their intangible assets and brands using approaches which are globally accepted and understood.
Categories of Intangible Assets
Marketing related: Trademarks (Brands), trade names, service marks, newspaper, mastheads, internet domain names, non-competition agreements.
Contract-based intangible assets: Licensing and royalty agreements, advertising, construction, service or supply agreements, lease agreements, franchise agreements, employment contracts.
Technology-based intangible assets: Patented technology, computer software, unpatented technology (know-how), databases, trade secrets such as secret formulas, processes and recipes.
Customer-related intangible assets: Customer lists, order or production backlogs, customer contracts and customer relationships including non contractual relationships.
Artistic-related intangible assets: Plays, operas, ballets, books, magazines, newspapers, pictures, photographs.
Why value your intangible asset?
For balance sheet purposes
For mergers and acquisitions
For reporting under IFRS, US GAAP and Indian GAAP
Joint-venture negotiations (e.g. to prevent overpayment)
Investor relations
Licensing and Franchising (e.g. to set the right price)
Obtaining Finance
Bringing the importance of brands to the attention of the board

India has traditionally been an Infrastructure deficit country, but the increased economic and population growth has created an urgent and immense need for investment in essential infrastructure such as roads & civil infrastructure, ports, railways, airports, power & energy etc.
With a view to accelerate infrastructure development in the country, the government has planned huge capital spending on infrastructure development which includes an estimated outlay of more than $1000 billion over the next ten years. Purchase Price Allocations for Mergers & Acquisitions
Purchase Price Allocations (“PPA”) are required by International Accounting Standards Board (IASB), International Financial Reporting Standards (IFRS) and US GAAP for all acquisitions. The Indian GAAP is also in process of converging to IFRS with the introduction of IndAS.
PPA requires companies to report the Fair Value of assets and liabilities acquired in their financial statements. The PPA process allocates the cost of an acquired entity to the Fair Value of assets acquired and liabilities assumed and it establishes useful lives for identified assets.
The purpose is greater transparency to investors. PPA is a complex, technical and organizationally challenging process. Particular emphasis should be placed on the information required to be disclosed. Goodwill must be disclosed to the capital markets. The amount of residual goodwill can provide indications as to the reasonableness of the purchase price.
The central challenge of a PPA lies in the identification and valuation of the intangible assets not previously reported by the acquiree i.e. where the balance sheet recognition criteria were not met previously.
This starts with identification of the acquiring company and determining the date of acquisition. An analysis of business plan is conducted which enables identification of central value drivers of the acquired company and provides an understanding of the amount and composition of the purchase price.
We specialize in the identification and valuation of intangible assets and we offer our experience with goodwill impairment and PPA across a broad range of industries.

Impairment Studies for Tangible Assets

Financial accounting and reporting requires an analysis of impairment review of Tangible assets as and when circumstances indicates that there is a diminution in the value of tangible asset.

Impairment Studies for Intangible Assets & Goodwill

Financial accounting and reporting requires an analysis of impairment review of intangible assets at every accounting year end or as and when the indications suggest that there is a diminution in the value of an intangible asset.
Impairment Analysis provides guidance and insight in the identification and re measurement of intangible assets and goodwill pursuant to the Indian GAAP, IFRS and US GAAP and subsequently report any impairment loss.

Valuation of ESOP’s and Sweat Equity

The emergence of Equity linked compensation structures have led to emergence and development of Employee Stock Ownership Plans under which stocks and options are granted to employees based on ESOP plan and structure. This has led to newer challenges for Valuation of ESOPs for regulatory, compliance and tax purposes.
Estimating the value of equity awards and share-based payments depends on a number of variables and often requires complex modeling to incorporate unique terms and complex risks. We assists both public and private organizations with stock compensation planning and financial reporting.
Our valuation models are tailored to our clients’ needs. We help companies select the most appropriate approach and estimate all required parameters. We deliver a well-supported valuation that fulfills IFRS 2, FASB ASC Topic 718, or other country specific financial reporting requirements.

Valuation for Tax, Transfer Pricing and Company Law Matters
Tax strategies are becoming increasingly complex and more highly scrutinized by regulatory authorities worldwide. Many tax laws and regulations now stipulate that a valuation is required before implementation.

ASC Topic 350 – US GAAP
After initial recognition, goodwill and indefinite lived intangible assets are periodically tested for impairment under ASC Topic 350.

IAS 36/Indian GAAP – AS 28
IAS 36: Impairment of Assets requires the testing of goodwill and long-lived intangible assets on an annual basis with other assets tested where there is an indication that the asset may be impaired. Goodwill is tested at a cash generating unit (“CGU”) level and is a single step test comparing the carrying value of the CGU to the recoverable amount. Goodwill impairment tests under IFRS frequently give materially different results to those under US GAAP due to the three step test used in ASC Topic 350.
IAS 36/Indian GAAP – AS 28: Impairment of Assets requires the testing of long-lived tangible assets as and when required with other assets tested where there is an indication that the asset may be impaired. An individual tangible asset may be tested for impairment at a cash generating unit (“CGU”) level where independent cash flows cannot be attributed to a single asset. The Carrying value of the tangible asset/CGU is compared to its recoverable amount – Fair Value less Cost of Disposal to determine whether the asset or CGU is impaired or not.
We have the required skills and expertise to perform unbiased and fair impairment analysis that will bring clarity to senior management, auditors, valuation professionals, and regulators by explaining the valuation aspects.

Fairness Opinions

A fairness opinion is a financial advisors opinion and an independent objective analysis from a financial point of view, as to the fairness of the financial terms of a Business Combination or a Corporate Transaction. There are many reasons for fairness opinions, most of which deal with transactions (business combinations) involving publicly listed and closely-held companies. An independent opinion of fairness relative to the exchange of values can provide substantial support for such transactions. Furthermore, independent fairness opinions are useful as a defense against dissident shareholder claims.
